Services are deemed accepted when:
- A written proposal or quote is signed or approved by the Client; or
- A deposit payment is made by the Client; or
- The Client provides written or electronic instruction to proceed.
5. Payment Terms
Unless otherwise agreed in writing:
- A deposit of 50% of the agreed project fee is due before work commences.

6. Revisions and Scope
Each project proposal will specify the number of revision rounds included. Work requested beyond the agreed scope will be quoted and billed separately.
DDS is not responsible for delays caused by the Client failing to provide required content, approvals, feedback, or access in a timely manner.
7. Intellectual Property
Client Content: You represent that you own or have the rights to all content and assets you provide to DDS. You grant DDS a non-exclusive licence to use such materials solely for the purpose of delivering your project.
DDS Deliverables: Upon receipt of full payment, intellectual property rights in bespoke deliverables transfer to the Client, except where otherwise agreed in writing.
DDS Tools and Frameworks: DDS retains ownership of all proprietary tools, frameworks, templates, and pre-existing code used in the delivery of services.
Portfolio Rights: DDS reserves the right to display completed work in its portfolio and marketing materials unless the Client requests confidentiality in writing.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. DDS will not disclose Client business information to third parties without consent, except where required by law or to fulfil contracted services.

The Client warrants that all content provided to DDS is lawful, accurate, and does not infringe any third-party rights.
10. Limitation of Liability
To the fullest extent permitted by South African law:
- DDS's total liability for any claim shall not exceed the total fees paid by the Client for the specific service giving rise to the claim.
- DDS shall not be liable for any indirect, consequential, or incidental losses, including loss of profit, revenue, data, or reputation.
- Nothing in these Terms limits DDS's liability for gross negligence, wilful misconduct, or fraud.
11. Cancellation and Termination
By the Client: You may cancel a project by providing written notice. Deposits are non-refundable. Any work completed prior to cancellation will be billed at a pro-rata rate.
By DDS: DDS reserves the right to terminate a project with 14 days' written notice if the Client breaches these Terms, payments are overdue by more than 30 days, or continuing the engagement becomes impractical.
Upon termination, all amounts due for work completed become immediately payable.
12. Third-Party Services
DDS may integrate third-party platforms or tools as part of project delivery. The Client acknowledges that:
- Third-party services are subject to their own terms and pricing, which may change.
- DDS is not responsible for the performance or availability of third-party services.
- Costs for third-party services such as hosting, domain registration, or software licences are the Client's responsibility unless explicitly included in a quoted package.
13. Force Majeure
DDS shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including acts of God, power failures, internet outages, cyberattacks, or government actions.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of South Africa. Any dispute shall be subject to the exclusive jurisdiction of the South African courts.
Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation, and if needed, mediation before litigation.
